Terms of Use
Last updated: October 21, 2026
These Terms govern your use of Uruz: the website uruzglobal.com, the dashboard at app.uruzglobal.com, the checkout at pay.uruzglobal.com, the API, the plugins and the documentation (together, the "Services"). Uruz is operated by Uruz Global LLC, a Wyoming limited liability company, with its registered office at 30 N Gould St, Sheridan, WY 82801, USA ("Uruz", "we", "us"). In Brazil, the Uruz Pay software and card payment services are operated by Advocatix Tecnologia Ltda., a Brazilian company, CNPJ 66.306.235/0001-14.
By creating an account or using the Services, you agree to these Terms. If you use them on behalf of a company, you confirm that you can bind that company to these Terms.
1. What Uruz is
Uruz is software. It lets businesses ("Merchants") request payments in stablecoins (USDC and EURC) on the Base network from their own customers ("Payers"), and follow those payments.
Uruz is non-custodial. Uruz does not at any time take possession, custody or control of any Merchant's or Payer's funds, wallets, private keys or wallet recovery methods. Payments go from the Payer's wallet to the Merchant's wallet through a public smart contract on the Base network. Uruz is not a bank, a money transmitter, an exchange, a payment institution or a custodian. Uruz does not convert stablecoins into any other currency and does not hold balances for anyone.
Uruz cannot start, sign, cancel, reverse or change a transaction on your behalf.
2. Your wallet
When you create an account, a wallet is created for you by an independent wallet provider (Privy). The wallet is yours. You alone control it, through your sign-in method and, if you export it, your private key.
You are solely responsible for keeping your sign-in method, e-mail account and any exported private key safe. If you lose access to them, Uruz may not be able to help you recover the wallet or its funds. We recommend that you make a backup of your wallet from the dashboard.
You can export your wallet and use it with other compatible tools at any time, including after you stop using Uruz.
3. How payments work
Each payment is made through the Uruz smart contract, which sends the amount to the Merchant's wallet and the Uruz fee to Uruz in the same transaction, together with the platform's fee, if any (section 8). Uruz does not receive the Merchant's share at any point.
Transactions on a blockchain are final. Once a payment or a withdrawal is confirmed, it cannot be reversed by Uruz. You are responsible for checking addresses, amounts, network and token before you confirm any transaction.
A charge expires if it is not paid in time. Uruz confirms a payment only when it is confirmed on the Base network.
4. Refunds and disputes
Refunds are made by the Merchant, from the Merchant's own wallet, using the dashboard. Uruz cannot make a refund on a Merchant's behalf. Any dispute about goods or services is between the Merchant and the Payer. The Uruz fee is not returned when a Merchant refunds a payment.
5. Fees
Uruz charges the fee shown on our website, currently 1% of each payment received. The fee is deducted automatically by the smart contract at the moment of payment. There is no monthly fee and no set-up fee. A Merchant whose account was opened by a platform may also pay that platform's fee, as described in section 8. Network costs paid by Uruz on your behalf are included in the fee unless we tell you otherwise. We may change our fees with at least 30 days' notice; the new fee applies only to payments made after that date.
6. Your account and our review
To receive payments, a Merchant must give accurate information about the business and keep it up to date. Uruz verifies each account and may ask for corrections or more information. Until it is verified, an account can receive up to 3,000 (US dollars and euros added together) in any 30 days; payments past that amount are refused. Once the account is verified that limit no longer applies, but Uruz may review or limit an account whose volume or pattern of sales looks unusual. Uruz may refuse, limit, suspend or close an account, in particular when information is false or incomplete, when the account appears to be used for a prohibited activity, or when the law requires it. Suspending an account stops the Uruz software from creating charges; it never gives Uruz access to the funds in your wallet.
You may not use the Services, as a Merchant, platform or Payer, if you, or the business you represent or its owners, are named on a sanctions list (including the U.S. Treasury's OFAC Specially Designated Nationals list and the sanctions lists of the United Nations, the European Union and the United Kingdom), or if you are located, organized or resident in a country or region under comprehensive sanctions. At the date of these Terms these include Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions of Ukraine; this list may change as the sanctions change.
Uruz screens wallet addresses against sanctions lists and may block a payment, refund, withdrawal or account involving a sanctioned person, wallet or place, without notice. Uruz may also restrict access to the Services from certain countries. You must not use the Services to send money to, or receive money from, anyone you may not deal with under sanctions law, or try to get around these restrictions, for example with a VPN or someone else's account.
7. Prohibited activities
You may not use Uruz for:
- anything illegal where you or your customer are located;
- money laundering, terrorist financing or sanctions evasion;
- gambling, adult content, weapons, drugs or other regulated products without the required licences;
- securities, investment schemes, lending, or receiving or exchanging money on behalf of others;
- fraud, deceptive offers, or selling goods or services you do not intend to deliver;
- anything that infringes the rights of others.
8. Platforms
A software platform may open Uruz accounts for its own customers. In that case, each customer is a Merchant under these Terms, with its own wallet and its own review. The platform is responsible for how it uses its platform key and for what it shows its customers.
A platform may charge its own fee on the payments its customers receive, as agreed with Uruz, up to 9% of each payment. The platform's fee is in addition to the Uruz fee, is deducted by the smart contract in the same transaction and goes straight to the platform's wallet; Uruz does not receive it. The platform must tell its customers its fee before they accept payments, and is solely responsible for it, including any dispute with its customers about it. A change in the platform's fee applies only to charges created after the change. The Uruz fee and the platform's fee together are never more than 10% of a payment. The platform's fee is not returned when a Merchant refunds a payment.
9. Third-party services
The Services rely on third parties that Uruz does not control, including the Base network, the issuer of USDC and EURC (Circle), the wallet provider (Privy) and hosting and e-mail providers. Uruz does not guarantee them and is not responsible for their failures, delays, changes, insolvency or for the value of any stablecoin. Your use of exchanges or banks to convert stablecoins is a matter between you and them.
10. Taxes
You are responsible for determining, reporting and paying any taxes that apply to your payments and your business.
11. Intellectual property
Uruz owns the Services and the Uruz brand. We give you a limited, non-exclusive, non-transferable right to use the Services, the API and the plugins to receive payments for your business while these Terms are in force.
12. Disclaimer
The Services are provided "as is" and "as available". To the extent permitted by law, Uruz makes no warranty that the Services will be uninterrupted or error-free, and is not responsible for losses caused by blockchain transactions that cannot be reversed, by wrong information you provide, by network failures, or by the loss of your sign-in method or private key.
13. Limitation of liability
To the extent permitted by law, Uruz is not liable for indirect or consequential losses, lost profits or lost data, and Uruz's total liability to you is limited to the fees you paid to Uruz in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
You agree to compensate Uruz for claims and costs arising from your breach of these Terms, your business, or your dealings with your customers.
15. Ending the relationship
You can stop using Uruz at any time. Uruz may end these Terms or close your account with notice, or immediately in the cases listed in section 6. Your wallet and its funds remain yours after your account is closed.
16. Changes
We may update these Terms. We will change the date at the top and, for important changes, tell Merchants by e-mail before they apply. If you keep using the Services after that, you accept the new Terms.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, and the state and federal courts located in Wyoming have jurisdiction, unless the law of your country gives you a right that cannot be waived.
